1. Use of this website

You may use this website for lawful purposes only. You may not:

• Use the site in any way that violates applicable law
• Attempt to gain unauthorized access to any part of the site or its infrastructure
• Use automated systems (bots, scrapers) to access the site without our consent
• Submit false or misleading information through any form

2. Our services

We provide web design, web development, AI automation, and ongoing maintenance services. The specific scope, deliverables, timeline, and price for any engagement will be set out in a separate written proposal or statement of work between you and Prana before any work begins.

These Terms govern your use of this website. They do not replace any contract or proposal we sign with you for a specific project — that contract will take precedence over these Terms for matters relating to the engagement.

3. Quotes and pricing

Any pricing referenced on this website (including starting prices and estimated ranges) is indicative only. Actual project pricing is determined after a discovery call and provided in a written quote. Quotes are valid for 30 days unless otherwise stated.

4. Payment terms

For project engagements, our standard payment terms are 50% upfront and 50% on completion, unless otherwise agreed in writing. For monthly care plans, payment is due in advance each month.

Invoices are issued from billing@pranaecom.com. Payments are due within 7 days of invoice unless otherwise specified.

5. Intellectual property

All content on this website — including text, graphics, code, design, and the Prana brand — is owned by Prana Ecom Solutions and protected by copyright and trademark law. You may not reproduce, copy, or redistribute it without our written permission.

Work we produce for clients is governed by the specific project contract. By default, on full payment, the client owns the final delivered work product (designs, content they provided, and the deployed site), while Prana retains the right to display the work in our portfolio and case studies unless otherwise agreed.

6. Third-party services

We may build solutions that integrate third-party services (such as Supabase, Vercel, Resend, Stripe, n8n, OpenAI, and others). Your use of those services is governed by their respective terms. We are not responsible for the availability, performance, or policies of third-party services.

7. Limitation of liability

To the maximum extent permitted by law:

• We provide this website "as is" without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages arising from your use of this website.
• Our total liability for any direct claim relating to this website is limited to INR 1,000 (or equivalent).

Liability arising from project engagements is governed by the specific project contract, not these Terms.

8. Indemnification

You agree to indemnify Prana against any claims arising from your misuse of this website or breach of these Terms.

9. Governing law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh.

For clients outside India, this jurisdiction clause applies to disputes about this website. Project engagement contracts may specify a different governing law and jurisdiction by mutual agreement.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Continued use of the website after changes means you accept the updated Terms.
